Fifth session of the UNIDROIT Working Group on International Investment Contracts

Between 1-3 April 2025, the UNIDROIT Working Group on International Investment Contracts met for its fifth session in Paris and online.

The project on International Investment Contracts is a high-priority project jointly undertaken by UNIDROIT and the ICC Institute of World Business Law (ICC Institute). It aims at developing guidance to foster the modernisation and harmonisation of international investment contracts, against the background of the UNIDROIT Principles of International Commercial Contracts and existing ICC model clauses.

The discussions during the fifth session focused on the first sections of a preliminary draft text of the future instrument, which had been developed by the Drafting Committee following the fourth session (November 2024) based on the input produced by the thematic Subgroups for this project. In particular, the Working Group discussed topics such as pre-contractual issues, aspects of formation and validity of international investment contracts, “stabilisation” and renegotiation clauses, hardship and force majeure, and possible contract language relating to sustainability commitments. The remaining sections of the preliminary draft text will be discussed during the sixth Working Group session, which will again be hosted by the ICC Institute in Paris from 10-12 June 2025.
